CONTRATO DE GARANTIA BANCÁRIA
GUARANTEE CONTRACT
The undersigned ........... (Name of the Bank), hereinafter to be referred to as
the Bank;
Whereas ........, hereinafter to be referred to as the "Creditor" as granted to
...., hereinafter to be referred to as the "Debtor" as loan of US$ ........
(.....) at an interest of Eight percent per annum, which loan has to be repaid
on ..... and the interest being payable annually at the last day of each
calendar year except for the last year to be settled on last day of each
calendar year except for the last year to be settled on the day when the loan
will be repaid;
Whereas this loan becomes immediately due, if the interest is not paid in time
and or if the debtor becomes bankruptcy or a moratorium is grated to him, or the
debtor goes into custody, or the debtor dies, or seizure or attachment under
execution will take place with the debtor;
Whereas the creditor has granted this loan on the condition that the Bank
guarantees on behalf of the debtor the due repayment of the loan;
The Bank hereby guarantees the due repayment of the aforesaid loan of US$
........ (......) as well as all interest and other charges accruing thereon;
The Bank will, therefore on first notice in writing given by the creditor that
the amount due is not settled by the debtor, repay the amount of US$ .........
(.......) as well as all interest and other charges accruing thereon;
The Bank agrees that the creditor shall have power without any further consent
from the Bank and without this in any way affecting the Bank's liability under
this guarantee to grant time to or make an agreement of settlement with the
debtor;
The Bank agrees that this guarantee is an irrevocable one and that the liability
of the Bank under this guarantee shall terminate only upon written notice by the
creditor that the debtor has met all his obligations and that guarantee is
therefore discharged.
